NOTARY DESIGNATION AGREEMENT
(Independent Notary Designation for Multisig Escrow)

CONTRACTING PARTIES
1. BUYER: [Full legal name], with identification [Type and number], domiciled at [Full address], hereinafter referred to as "THE BUYER".
2. SELLER: [Full legal name], with identification [Type and number], domiciled at [Full address], hereinafter referred to as "THE SELLER".
3. NOTARY: [Full legal name], Public Notary of [Jurisdiction], license/registration number [Number], with office at [Full address], hereinafter referred to as "THE NOTARY".
Collectively referred to as "THE PARTIES".
RECITALS
I. THE BUYER and THE SELLER have agreed to execute a real estate transaction using a multisignature (2-of-3) escrow system on the Stellar blockchain network.
II. Said system requires the participation of an independent third party to act as a public witness and custodian of one of the three cryptographic keys necessary to release the escrowed funds.
III. THE PARTIES, JOINTLY and VOLUNTARILY, have decided to designate THE NOTARY to fulfill said function.
IV. This designation is made DIRECTLY between the parties, without intermediation, recommendation, or intervention from Cuandeoro Ltd. or any other technology platform.
V. Cuandeoro Ltd. is NOT a party to this agreement and has NO rights, obligations, or liabilities arising from it.
AGREEMENT TERMS
FIRST - PURPOSE OF THE AGREEMENT
THE NOTARY agrees to act as an independent third party in the 2-of-3 multisig escrow system, custodying a cryptographic key and using it exclusively in accordance with the instructions contained in this agreement.
SECOND - INDEPENDENCE OF THE NOTARY
2.1 THE NOTARY declares that they act in a completely independent capacity.
2.2 THE NOTARY has no employment, commercial, or agency relationship with Cuandeoro Ltd. or any technology platform.
2.3 THE NOTARY is accountable solely to THE BUYER and THE SELLER.
THIRD - CUSTODY OF THE CRYPTOGRAPHIC KEY
3.1 THE NOTARY will generate or receive a private key that forms part of the 2-of-3 multisig system.
3.2 THE NOTARY will custody said key with the highest professional diligence.
3.3 THE NOTARY will NOT share the key with third parties under any circumstance.
3.4 Custody shall be formalized through a "Cryptographic Key Deposit Deed" (Annex I to this agreement).
FOURTH - CONDITIONS FOR SIGNING
4.1 THE NOTARY will use their key to sign the blockchain transaction ONLY when ALL of the following conditions are met:
- THE BUYER has given their express consent
- THE SELLER has given their express consent
- THE NOTARY has verified the transaction documentation
- There are no pending documentary discrepancies to resolve
- The legal requirements of the applicable jurisdiction have been fulfilled
4.2 THE NOTARY will NOT sign if:
- Either party withdraws their consent
- There are indications of fraud, money laundering, or illicit activity
- The documentation is incomplete or presents irregularities
- They receive instructions from Cuandeoro Ltd. or any third party
FIFTH - IRREVOCABLE INSTRUCTIONS
5.1 The instructions contained in this agreement are IRREVOCABLE except by written agreement of BOTH PARTIES (Buyer and Seller).
5.2 Cuandeoro Ltd. CANNOT modify, revoke, or alter these instructions.
5.3 No third party can give instructions to THE NOTARY regarding this transaction.
SIXTH - FEES
6.1 THE NOTARY's fees shall be [AMOUNT] [CURRENCY].
6.2 Said fees shall be paid by [BUYER/SELLER/BOTH at 50%].
6.3 Cuandeoro Ltd. does NOT participate in the setting or payment of fees.
SEVENTH - LIABILITY
7.1 THE NOTARY shall be responsible for the diligent custody of the key.
7.2 THE NOTARY shall be responsible for verifying documentation according to the professional standards of their jurisdiction.
7.3 Cuandeoro Ltd. assumes NO liability for acts or omissions of THE NOTARY.
EIGHTH - TERMINATION
8.1 This agreement terminates when:
- The transaction is successfully completed, or
- The parties agree in writing to cancel the operation, or
- The maximum period of [90] days elapses without completing the transaction
8.2 In the event of termination without completing the transaction, THE NOTARY will securely destroy the custodied key and issue a certificate of destruction.
NINTH - GOVERNING LAW
This agreement shall be governed by the laws of [JURISDICTION].
TENTH - ELECTRONIC SIGNATURE
The parties accept the validity of advanced electronic signatures for this document.
